Terms of Service

Welcome to OneOneLive. These Terms of Service ("Terms") govern your access to and use of the OneOneLive platform, website, and services (collectively, the "Service") operated by Backline Partners, LLC ("Company," "we," "us," or "our"), a Colorado limited liability company located in Denver, Colorado.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of Service

OneOneLive is a professional networking platform designed for the live music and entertainment industry. The Service enables users to create professional profiles, connect with other industry participants, discover and post opportunities (including gig listings, sessions, touring, and career opportunities), communicate via messaging, upload and share documents (including offer templates and contracts), and access industry-related content and news.

2. User Accounts & Registration

To access most features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorized access to or use of your account.

You must be at least 18 years of age to create an account and use the Service. We reserve the right to refuse registration or cancel accounts at our discretion.

3. User Content & Conduct

You retain ownership of the content you post, upload, or share through the Service ("User Content"), including but not limited to profile information, photos, posts, comments, documents, offer templates, and messages. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely in connection with operating and providing the Service.

You agree not to:

  • Post content that is false, misleading, defamatory, obscene, or otherwise objectionable.
  • Upload or transmit viruses, malware, or other harmful code.
  • Harass, abuse, threaten, or intimidate other users.
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Scrape, crawl, or use automated means to access the Service without our prior written consent.
  • Impersonate another person or entity, or falsely claim an affiliation with any person or entity.
  • Interfere with or disrupt the Service or its infrastructure.

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

4. Intellectual Property

The Service, including its design, logos, trademarks, text, graphics, software, and other materials (excluding User Content), is owned by or licensed to Backline Partners, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

5. Opportunities & Gig Listings

The Service allows users to post and browse opportunities, including performance gigs, sessions, touring positions, collaborations, jobs, internships, and brand sponsorships. You acknowledge and agree that:

  • We do not guarantee the accuracy, completeness, or legitimacy of any opportunity listing posted by other users.
  • We are not a party to any agreements, contracts, or arrangements between users, including but not limited to gig offers, performance contracts, or compensation agreements.
  • You are solely responsible for evaluating and verifying the terms of any opportunity before accepting or entering into any agreement.
  • Document templates and offer tools provided through the Service are for convenience only and do not constitute legal advice. You should consult with a qualified attorney before executing any binding agreements.

6. Communications & Messaging

The Service provides messaging and notification features to facilitate communication between users. You agree that:

  • You will not use the messaging system to send spam, unsolicited commercial messages, or other unwanted communications.
  • We may send you service-related emails and notifications (e.g., account verification, gig offers, connection requests, application updates) using third-party email services. You may manage your notification preferences in your account settings.
  • While we strive to deliver messages reliably, we do not guarantee the delivery, receipt, or storage of any messages sent through the Service.

7. File Uploads & Documents

The Service allows you to upload files, including profile photos, media attachments, offer documents, and contract templates. You represent and warrant that you have the right to upload and share any files you submit, and that such files do not infringe on the rights of any third party. We reserve the right to impose size limits and file type restrictions on uploads. We are not responsible for the loss of any uploaded files, though we take reasonable measures to protect them.

8. Third-Party Services

The Service integrates with and relies on third-party services, including but not limited to Supabase (data storage and authentication) and Resend (email delivery). Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or practices of any third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKLINE PARTNERS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Backline Partners, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time through your account settings. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) shall survive.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Denver, Colorado, and you consent to the personal jurisdiction of such courts.
